1. Parties and acceptance
These Terms of Use (the “Terms”) form a legally binding agreement between you (“you,” “your,” or “User”) and Weagle Records (“Weagle Records,” “we,” “us,” or “our”), with registered correspondence address at 18 Shapira Ave, Wasaga Beach, Ontario L9Z 0K2, Canada. By accessing, browsing, linking to, or otherwise using https://weaglerecords.com and any page, content, form, download, or service made available through it (collectively, the “Site”), you represent that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must immediately cease all use of the Site.
If you use the Site on behalf of a company, partnership, estate, trust, or other entity, you represent and warrant that you have authority to bind that entity, and “you” includes that entity.
2. Definitions
In these Terms:
- “Catalogue” means sound recordings, musical compositions, and related rights administered or represented by Weagle Records from time to time, subject to written authority.
- “Materials” means any musical work, sound recording, artwork, name, likeness, trademark, text, photograph, or other content associated with an artist or the Site.
- “Licence” means a written instrument executed by the party with authority to grant rights, identifying permitted use, territory, term, media, and fee.
- “Ontario Courts” means the courts of the Province of Ontario, including the Superior Court of Justice, and any appellate courts thereof.
3. Eligibility
You represent that you have legal capacity to enter into a binding contract under the laws applicable to you and, if acting for an entity, that you are duly authorized. The Site is not directed to persons under the age of majority in their place of residence. We may refuse access to any person at our discretion where use would violate law or these Terms.
4. Nature of the Site
The Site provides general information about Weagle Records, artists presented on the Site, and licensing processes. Nothing on the Site constitutes: (a) an offer to license any Materials; (b) a grant of rights; (c) legal, accounting, or professional advice; (d) a waiver of any right; or (e) a representation that any particular work is available for licence in any territory.
No licence or other intellectual property right is granted by implication, estoppel, course of dealing, or otherwise, except pursuant to a separate written Licence executed by an authorized representative of Weagle Records or the applicable rights holder.
5. Intellectual property
All content on the Site, including without limitation text, design, logos (including the Weagle Records name and winged mark), graphics, photographs, layout, compilation, and software, is owned by Weagle Records or its licensors and is protected by the Copyright Act (Canada), the Trademarks Act (Canada), common law, and international treaties.
You may not copy, reproduce, modify, distribute, display, perform, publish, license, create derivative works from, reverse engineer, scrape, or otherwise exploit any Site content without prior written consent, except for temporary technical caching incidental to ordinary browser use of publicly available pages.
All trademarks, trade names, and logos displayed on the Site are the property of their respective owners. Nothing grants you any right to use any mark without written permission of the owner.
6. Erkin Koray and third-party rights
Reservation of rights. Without limiting Section 5, all rights in and to the name, image, likeness, voice, performances, sound recordings, musical compositions, trademarks, merchandising rights, and related intellectual property of Erkin Koray are owned by the rightful rights holders and are expressly and fully reserved. Nothing on this Site grants any right to use such Materials.
Any unauthorized use, including without limitation reproduction, synchronization, public performance, communication to the public, distribution, sampling, remixing, training of artificial intelligence systems, or commercial exploitation, is strictly prohibited and will be pursued to the maximum extent permitted by law, including under the Copyright Act (Canada) and applicable provincial law.
References to third-party artists, labels, platforms, or sites (including erkinkoray.com) do not imply endorsement or a licence grant.
7. Acceptable use
You shall not:
- use the Site in any manner that violates applicable law, including the laws of Ontario and Canada;
- attempt to gain unauthorized access to any systems, accounts, or data connected to the Site;
- interfere with or disrupt the integrity, security, or performance of the Site;
- scrape, harvest, or systematically extract content or personal information without written permission;
- transmit malware, spam, or any harmful code;
- misrepresent your identity or affiliation when contacting us;
- use any Site content or Materials for commercial purposes without a valid written Licence; or
- circumvent any technical or contractual restriction on the Site.
We may investigate violations and cooperate with law enforcement and rights holders as permitted by law.
8. User submissions
If you submit information through a contact form or email, you grant Weagle Records a non-exclusive, royalty-free, worldwide licence to use that information solely to evaluate and respond to your enquiry and to administer related business correspondence. You represent that your submissions are accurate, lawful, and do not infringe third-party rights.
Unsolicited creative materials (including demos, scripts, and proposals) may be declined without review. Weagle Records assumes no obligation of confidentiality or compensation with respect to unsolicited submissions unless a separate written agreement is signed.
9. No offer to license
Display of artist information, catalogue titles, or contact channels is not an invitation to treat that creates enforceable licence rights. Quotes, discussions, and draft invoices do not authorize use. A Licence is effective only when executed in writing (or confirmed in writing by the authorized party) and only for the use expressly stated, subject to payment of fees.
Licensing is further governed by our Licensing Agreement terms published on the Site, as updated from time to time.
10. Third-party links
The Site may link to third-party websites, including artist official sites. Weagle Records does not control and is not responsible for third-party content, policies, or practices. Links do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.
11. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WEAGLE RECORDS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Some jurisdictions do not allow exclusion of certain warranties. To the extent such exclusions are not permitted under the laws of Ontario or Canada, the above applies only to the maximum extent permitted.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEAGLE RECORDS, ITS PRINCIPALS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Nothing in these Terms excludes liability that cannot be excluded under the laws of Ontario or Canada, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where such exclusion is prohibited by statute (including the Occupiers’ Liability Act where applicable).
13. Indemnity
You agree to indemnify, defend, and hold harmless Weagle Records and its principals, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees on a full indemnity basis where permitted) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any content or materials you submit.
14. Privacy
Personal information collected through the Site is handled in accordance with our Privacy Policy, which is incorporated by reference. Where there is a conflict regarding personal information, the Privacy Policy controls for privacy-specific matters, and these Terms control for use of the Site generally.
15. Governing law and exclusive jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any non-contractual obligations connected therewith shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles that would apply the laws of another jurisdiction.
You irrevocably attorn and submit to the exclusive jurisdiction of the Ontario Courts sitting in Ontario, Canada, and waive any objection to venue in such courts on the grounds of forum non conveniens, inconvenience of forum, or otherwise. You waive any right to a jury trial to the extent such waiver is permitted by law.
16. Dispute resolution
Before commencing litigation, the parties shall attempt in good faith to resolve disputes by written notice to legal@weaglerecords.com and a reasonable period of negotiation not exceeding thirty (30) days, except where interim injunctive relief is required to protect intellectual property or confidential information. Nothing requires arbitration unless both parties agree in a separate written instrument.
17. Force majeure
Weagle Records is not liable for failure or delay caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, labour disputes, utility failures, epidemics, government action, or failures of third-party networks or hosting providers.
18. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a reorganization, sale of assets, or catalogue transfer. These Terms bind permitted successors and assigns.
19. Severability
If any provision of these Terms is held invalid or unenforceable by an Ontario Court, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions continue in full force and effect.
20. Entire agreement
These Terms, together with the Privacy Policy and any written Licence or other written agreement between you and Weagle Records, constitute the entire agreement regarding the Site and supersede prior understandings relating to the Site. No waiver is effective unless in writing and signed or expressly accepted by Weagle Records. Failure to enforce any provision is not a waiver of future enforcement.
21. Changes
Weagle Records may revise these Terms at any time by posting the updated Terms on the Site with a revised “Last updated” date. Continued use of the Site after posting constitutes acceptance of the revised Terms. Material changes may be highlighted at our discretion, but notice by posting is sufficient unless mandatory law requires otherwise.
22. Notices
Notices to Weagle Records under these Terms shall be in writing and delivered by email to legal@weaglerecords.com (with copy to info@weaglerecords.com recommended) or by prepaid courier to 18 Shapira Ave, Wasaga Beach, Ontario L9Z 0K2, Canada. Notices are deemed received on the business day of confirmed delivery if sent on a business day during ordinary hours in Ontario, or on the next business day otherwise. Business days exclude Saturday, Sunday, and statutory holidays observed in Ontario.
