1. Parties and acceptance

These Terms of Use (the “Terms”) form a legally binding agreement between you (“you,” “your,” or “User”) and Weagle Records (“Weagle Records,” “we,” “us,” or “our”), with registered correspondence address at 18 Shapira Ave, Wasaga Beach, Ontario L9Z 0K2, Canada. By accessing, browsing, linking to, or otherwise using https://weaglerecords.com and any page, content, form, download, or service made available through it (collectively, the “Site”), you represent that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must immediately cease all use of the Site.

If you use the Site on behalf of a company, partnership, estate, trust, or other entity, you represent and warrant that you have authority to bind that entity, and “you” includes that entity.

2. Definitions

In these Terms:

• “Catalogue” means sound recordings, musical compositions, and related rights administered or represented by Weagle Records from time to time, subject to written authority.
• “Materials” means any musical work, sound recording, artwork, name, likeness, trademark, text, photograph, or other content associated with an artist or the Site.
• “Licence” means a written instrument executed by the party with authority to grant rights, identifying permitted use, territory, term, media, and fee.
• “Ontario Courts” means the courts of the Province of Ontario, including the Superior Court of Justice, and any appellate courts thereof.

3. Eligibility

You represent that you have legal capacity to enter into a binding contract under the laws applicable to you and, if acting for an entity, that you are duly authorized. The Site is not directed to persons under the age of majority in their place of residence. We may refuse access to any person at our discretion where use would violate law or these Terms.

4. Nature of the Site

The Site provides general information about Weagle Records, artists presented on the Site, and licensing processes. Nothing on the Site constitutes: (a) an offer to license any Materials; (b) a grant of rights; (c) legal, accounting, or professional advice; (d) a waiver of any right; or (e) a representation that any particular work is available for licence in any territory.

No licence or other intellectual property right is granted by implication, estoppel, course of dealing, or otherwise, except pursuant to a separate written Licence executed by an authorized representative of Weagle Records or the applicable rights holder.

5. Intellectual property

All content on the Site, including without limitation text, design, logos (including the Weagle Records name and winged mark), graphics, photographs, layout, compilation, and software, is owned by Weagle Records or its licensors and is protected by the Copyright Act (Canada), the Trademarks Act (Canada), common law, and international treaties.

You may not copy, reproduce, modify, distribute, display, perform, publish, license, create derivative works from, reverse engineer, scrape, or otherwise exploit any Site content without prior written consent, except for temporary technical caching incidental to ordinary browser use of publicly available pages.

All trademarks, trade names, and logos displayed on the Site are the property of their respective owners. Nothing grants you any right to use any mark without written permission of the owner.

6. Erkin Koray and third-party rights

Reservation of rights. Without limiting Section 5, all rights in and to the name, image, likeness, voice, performances, sound recordings, musical compositions, trademarks, merchandising rights, and related intellectual property of Erkin Koray are owned by the rightful rights holders and are expressly and fully reserved. Nothing on this Site grants any right to use such Materials.

Any unauthorized use, including without limitation reproduction, synchronization, public performance, communication to the public, distribution, sampling, remixing, training of artificial intelligence systems, or commercial exploitation, is strictly prohibited and will be pursued to the maximum extent permitted by law, including under the Copyright Act (Canada) and applicable provincial law.

References to third-party artists, labels, platforms, or sites (including erkinkoray.com) do not imply endorsement or a licence grant.

7. Acceptable use

You shall not:

• use the Site in any manner that violates applicable law, including the laws of Ontario and Canada;
• attempt to gain unauthorized access to any systems, accounts, or data connected to the Site;
• interfere with or disrupt the integrity, security, or performance of the Site;
• scrape, harvest, or systematically extract content or personal information without written permission;
• transmit malware, spam, or any harmful code;
• misrepresent your identity or affiliation when contacting us;
• use any Site content or Materials for commercial purposes without a valid written Licence; or
• circumvent any technical or contractual restriction on the Site.

We may investigate violations and cooperate with law enforcement and rights holders as permitted by law.

8. User submissions

If you submit information through a contact form or email, you grant Weagle Records a non-exclusive, royalty-free, worldwide licence to use that information solely to evaluate and respond to your enquiry and to administer related business correspondence. You represent that your submissions are accurate, lawful, and do not infringe third-party rights.

Unsolicited creative materials (including demos, scripts, and proposals) may be declined without review. Weagle Records assumes no obligation of confidentiality or compensation with respect to unsolicited submissions unless a separate written agreement is signed.

9. No offer to license

Display of artist information, catalogue titles, or contact channels is not an invitation to treat that creates enforceable licence rights. Quotes, discussions, and draft invoices do not authorize use. A Licence is effective only when executed in writing (or confirmed in writing by the authorized party) and only for the use expressly stated, subject to payment of fees.

Licensing is further governed by our Licensing Agreement terms published on the Site, as updated from time to time.

10. Third-party links

The Site may link to third-party websites, including artist official sites. Weagle Records does not control and is not responsible for third-party content, policies, or practices. Links do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.

11. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WEAGLE RECORDS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow exclusion of certain warranties. To the extent such exclusions are not permitted under the laws of Ontario or Canada, the above applies only to the maximum extent permitted.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEAGLE RECORDS, ITS PRINCIPALS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Nothing in these Terms excludes liability that cannot be excluded under the laws of Ontario or Canada, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where such exclusion is prohibited by statute (including the Occupiers’ Liability Act where applicable).

13. Indemnity

You agree to indemnify, defend, and hold harmless Weagle Records and its principals, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees on a full indemnity basis where permitted) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any content or materials you submit.

14. Privacy

Personal information collected through the Site is handled in accordance with our Privacy Policy, which is incorporated by reference. Where there is a conflict regarding personal information, the Privacy Policy controls for privacy-specific matters, and these Terms control for use of the Site generally.

15. Governing law and exclusive jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any non-contractual obligations connected therewith shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles that would apply the laws of another jurisdiction.

You irrevocably attorn and submit to the exclusive jurisdiction of the Ontario Courts sitting in Ontario, Canada, and waive any objection to venue in such courts on the grounds of forum non conveniens, inconvenience of forum, or otherwise. You waive any right to a jury trial to the extent such waiver is permitted by law.

16. Dispute resolution

Before commencing litigation, the parties shall attempt in good faith to resolve disputes by written notice to legal@weaglerecords.com and a reasonable period of negotiation not exceeding thirty (30) days, except where interim injunctive relief is required to protect intellectual property or confidential information. Nothing requires arbitration unless both parties agree in a separate written instrument.

17. Force majeure

Weagle Records is not liable for failure or delay caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, labour disputes, utility failures, epidemics, government action, or failures of third-party networks or hosting providers.

18. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a reorganization, sale of assets, or catalogue transfer. These Terms bind permitted successors and assigns.

19. Severability

If any provision of these Terms is held invalid or unenforceable by an Ontario Court, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions continue in full force and effect.

20. Entire agreement

These Terms, together with the Privacy Policy and any written Licence or other written agreement between you and Weagle Records, constitute the entire agreement regarding the Site and supersede prior understandings relating to the Site. No waiver is effective unless in writing and signed or expressly accepted by Weagle Records. Failure to enforce any provision is not a waiver of future enforcement.

21. Changes

Weagle Records may revise these Terms at any time by posting the updated Terms on the Site with a revised “Last updated” date. Continued use of the Site after posting constitutes acceptance of the revised Terms. Material changes may be highlighted at our discretion, but notice by posting is sufficient unless mandatory law requires otherwise.

22. Notices

Notices to Weagle Records under these Terms shall be in writing and delivered by email to legal@weaglerecords.com (with copy to info@weaglerecords.com recommended) or by prepaid courier to 18 Shapira Ave, Wasaga Beach, Ontario L9Z 0K2, Canada. Notices are deemed received on the business day of confirmed delivery if sent on a business day during ordinary hours in Ontario, or on the next business day otherwise. Business days exclude Saturday, Sunday, and statutory holidays observed in Ontario.

1. Who we are

Weagle Records (“we,” “us,” or “our”) is the organization responsible for personal information collected through https://weaglerecords.com (the “Site”). Correspondence address: 18 Shapira Ave, Wasaga Beach, Ontario L9Z 0K2, Canada.

This Privacy Policy describes how we collect, use, disclose, and protect personal information in connection with the Site, contact forms, email correspondence, and related label administration.

2. Scope

This Policy applies to personal information under our control that is collected through the Site and related business communications. It does not apply to third-party websites linked from the Site (including erkinkoray.com), which have their own policies.

Where we act solely as a channel for licensing requests that are later documented in separate contracts, those contracts may contain additional confidentiality and data terms that apply between the contracting parties.

3. Information we collect

We may collect:

• Identity and contact data: name, email address, organization name, role, and any information you include in messages or forms.
• Enquiry and licensing data: topic, message content, project name, media, territory, term, titles requested, and other details you choose to provide.
• Technical data: IP address, browser type, device information, approximate location derived from IP, referral URL, and pages viewed, collected via server logs or security tools.
• Security data: tokens and verification results from anti-abuse services (for example Cloudflare Turnstile) to distinguish humans from automated traffic.
• Correspondence records: emails and attachments you send to our published addresses, and our replies, retained for business continuity and legal defence.

We do not intentionally collect sensitive personal information (such as health or biometric data) through the Site. Please do not submit such information via the contact form.

4. How we collect information

• Directly from you when you submit a form or email us.
• Automatically when you access the Site (logs, security, and performance tooling).
• Through service providers that process form submissions and bot protection (including Formspree and Cloudflare, as configured).

5. Purposes of use

We use personal information only as reasonably necessary to:

• respond to enquiries and manage business correspondence;
• evaluate and process licensing or commercial requests;
• operate, secure, and improve the Site;
• prevent spam, fraud, and abuse;
• comply with legal obligations and enforce our Terms;
• establish, exercise, or defend legal claims, including intellectual property claims; and
• maintain records required for rights administration and audit.

We do not sell personal information. We do not use form submissions for unrelated marketing without your consent where consent is required by law. Where we send commercial electronic messages, we comply with CASL requirements applicable to the message type.

6. Legal basis and consent (PIPEDA / CASL)

Where PIPEDA or other applicable law requires consent, we rely on your express or implied consent as appropriate to the sensitivity of the information and the reasonable expectations of the individual. You may withdraw consent subject to legal or contractual restrictions and reasonable notice. Withdrawal may limit our ability to respond to you.

Under PIPEDA’s accountability principle, we remain responsible for personal information in our custody or control, including information transferred to processors for processing on our behalf.

CASL: we do not intend the contact form itself to constitute consent to receive marketing emails unrelated to your enquiry. Service-related replies to your request are transactional or relationship messages. If we ever operate a marketing list, we will obtain appropriate consent and provide unsubscribe mechanisms as required by CASL.

7. Disclosure and processors

We may disclose personal information to service providers who process it on our instructions, including:

• form delivery providers (for example Formspree);
• security and network providers (for example Cloudflare, including Turnstile);
• email and hosting infrastructure used to operate the Site and correspondence;
• professional advisors (lawyers, accountants) under confidentiality obligations where needed for advice or proceedings.

We require processors to protect personal information with safeguards appropriate to the sensitivity of the information, consistent with this Policy and applicable law.

We may also disclose information if required by law, court order, or governmental authority in Ontario or Canada, or as necessary to protect the rights, property, or safety of Weagle Records, our users, artists, or others, or in connection with a corporate reorganization, subject to confidentiality obligations where appropriate.

8. Cross-border transfers

Personal information may be processed outside Canada (including by cloud, form, or security providers headquartered in the United States or elsewhere). While outside Canada, information may be subject to the laws of those jurisdictions, including lawful access by foreign authorities. We take reasonable contractual and organizational steps to protect personal information transferred for processing, and we remain accountable under PIPEDA for such transfers where PIPEDA applies.

9. Retention

We retain personal information only as long as necessary for the purposes identified, or as required or permitted by law (including limitation periods for legal claims under Ontario law). As a general guideline:

• routine website enquiry records: retained for a reasonable business period (typically up to 3 years after last correspondence), unless a longer period is needed for an ongoing matter;
• licensing files and contract-related correspondence: retained for the life of the relevant rights administration need, and thereafter for the applicable limitation period (often up to 2 years for simple contract claims under the Limitations Act, 2002 (Ontario), subject to exceptions, and longer where deeds, acknowledgements, or other rules apply);
• security logs: retained as reasonably necessary for security and abuse prevention;
• legal hold: information relevant to anticipated or ongoing disputes is retained until the matter is resolved and holds are released.

10. Security

We implement reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the information, including transmission over HTTPS where available, access limitation, and anti-abuse controls. No method of transmission or storage is completely secure. You transmit information at your own residual risk.

If we become aware of a breach of security safeguards involving personal information under our control that creates a real risk of significant harm, we will assess and, where required by PIPEDA, report to the Office of the Privacy Commissioner of Canada and notify affected individuals as required by law.

11. Your rights

Subject to exceptions under applicable law, you may request access to, or correction of, personal information we hold about you. You may also inquire about our privacy practices. Submit requests to legal@weaglerecords.com (preferred) or info@weaglerecords.com with sufficient detail to identify you and the request. We will respond within the time frames required by applicable law (under PIPEDA, generally within 30 days, subject to extensions permitted by law).

You may have the right to file a complaint with the Office of the Privacy Commissioner of Canada or another competent authority. Contact details for the OPC are available at priv.gc.ca.

12. Cookies and similar technologies

The Site may use essential cookies or local storage required for security, session integrity, or form protection. Third-party scripts (for example Turnstile) may set cookies or similar identifiers as described in those providers’ policies. You may control cookies through browser settings; disabling certain cookies may affect Site functionality.

We do not currently operate non-essential advertising cookies on the Site. If that changes, we will update this Policy and, where required, obtain consent.

13. Children’s privacy

The Site is not directed to children. We do not knowingly collect personal information from persons under the age of 13 (or under the age of majority where a higher standard applies). If you believe a minor has provided personal information, contact legal@weaglerecords.com and we will take reasonable steps to delete it.

14. Third-party sites

Links to third-party sites (including erkinkoray.com) are not covered by this Policy. Review the privacy policies of those sites separately.

15. Changes

We may update this Privacy Policy by posting a revised version on the Site with an updated “Last updated” date. Continued use of the Site after posting constitutes notice of the changes. Where required by law, we will obtain additional consent for new uses of personal information.

16. Complaints

If you have a concern about our handling of personal information, contact legal@weaglerecords.com. We will investigate in good faith. You may also contact the Office of the Privacy Commissioner of Canada.

17. Governing law

This Privacy Policy is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of or relating to this Policy or our handling of personal information shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, except where a privacy regulator has exclusive statutory jurisdiction over a complaint process.

1. Purpose and status of these terms

These Licensing Agreement terms (the “Agreement Terms”) set out the standard conditions under which Weagle Records (“Licensor”) may grant limited rights to use musical works and/or sound recordings under its administration or authority (the “Materials”). These Agreement Terms do not themselves grant any licence.

A licence is effective only upon: (a) written confirmation or a fully executed short-form or long-form licence agreement identifying the Materials and permitted use; (b) payment of all fees as invoiced (unless otherwise agreed in writing); and (c) compliance with all conditions stated therein and herein.

Where a signed licence conflicts with these Agreement Terms, the signed licence controls with respect to the conflict. Where no signed licence exists, no rights are granted. Silence, delay, or partial performance does not create a licence.

2. Parties and authority

Licensee means the person or entity requesting or receiving a licence. Licensee represents that it has authority to bind the contracting entity and that all information provided in the request is true, complete, and not misleading.

Licensor grants rights only to the extent of its authority. Where third-party rights (including publisher, co-writer, performer, union, neighbouring rights, trademark, or name-and-likeness rights) are required, Licensee is solely responsible for obtaining those rights unless the executed licence expressly states otherwise in writing.

3. No implied licence

No licence, permission, waiver, or consent is granted by implication, course of dealing, industry custom, prior use, or silence. Preview, discussion, quote, pitch, or invoice draft does not authorize use. Public availability of music or information about artists on this Site or elsewhere does not constitute a licence.

Use of Materials in artificial intelligence training, machine learning, voice cloning, or similar systems is prohibited unless expressly authorized in a signed licence that specifically addresses such use.

4. Erkin Koray reservation

All rights in and to Erkin Koray’s name, likeness, performances, sound recordings, compositions, and related intellectual property remain strictly reserved by the rightful owners. No use is authorized except under a written instrument executed by the party with legal authority to grant such use. Unauthorized exploitation will be treated as infringement and pursued accordingly under Canadian law, including the Copyright Act, and under any other applicable law.

5. Scope of licensed rights

Any licence, when granted, is limited to the precise combination of:

• identified Materials (title, version, ISRC/ISWC if available);
• media and platforms;
• territory;
• term (including options, if any);
• exclusivity or non-exclusivity;
• nature of use (for example background score, featured, trailer, advertising);
• credit requirements; and
• fee and payment schedule.

All rights not expressly granted are reserved. Without limitation, sampling, interpolation, remixing, lyric alteration, merchandising rights, and perpetual worldwide buyouts are excluded unless expressly granted in writing.

6. Restrictions

Unless expressly authorized in the executed licence, Licensee shall not:

• sublicense, assign, or transfer the licence or Materials;
• use Materials outside the stated media, territory, or term;
• use Materials in a manner that is defamatory, unlawful, or that implies endorsement by the artist or Licensor without written approval;
• use artist name, image, or likeness as a separate endorsement right;
• edit Materials in a way that prejudices the honour or reputation of the author, subject to applicable moral rights law; or
• represent that Licensee owns the copyright in the Materials.

7. Fees, taxes, and audit

Fees are due as stated in the invoice or licence. Amounts are exclusive of applicable taxes (including HST/GST where chargeable under the Excise Tax Act) unless stated otherwise. Late amounts may bear interest at the rate permitted by law. Licensee shall keep accurate records of use sufficient to verify compliance for not less than three (3) years after the term ends.

Licensor may, upon reasonable notice, audit such records during ordinary business hours. Underpayment disclosed by audit shall be paid immediately, and if underpayment exceeds five percent (5%) of amounts due for the audited period, Licensee shall bear reasonable audit costs.

8. Credit

Where the licence requires credit, Licensee shall provide credit substantially in the form specified (or, if unspecified, in a professional industry-standard form identifying the artist, composition, and master as applicable). Failure to credit as required is a material breach and does not reduce fees owed.

9. Warranties and disclaimer

Licensor warrants that, to its knowledge and within the scope of rights it administers, it has authority to grant the rights expressly set out in an executed licence. EXCEPT AS EXPRESSLY STATED IN A SIGNED LICENCE, THE MATERIALS ARE LICENSED “AS IS,” AND LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Licensor does not warrant commercial success of Licensee’s project.

10. Moral rights

Except as expressly waived in writing by the person entitled to moral rights under the Copyright Act (Canada), moral rights are reserved. Licensee shall not use Materials in a manner that distorts, mutilates, or modifies the work to the prejudice of the honour or reputation of the author, except as permitted by the signed licence and applicable law.

11. Indemnity

Licensee shall indemnify, defend, and hold harmless Licensor and its principals, officers, employees, agents, and artists from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees on a full indemnity basis where permitted) arising from: (a) Licensee’s use of Materials outside the licence scope; (b) Licensee’s project content or distribution; (c) Licensee’s breach of the licence or these Agreement Terms; or (d) any failure by Licensee to obtain third-party clearances for which Licensee is responsible.

12. Insurance

For high-value commercial uses, Licensor may require Licensee to maintain commercial general liability and media liability insurance with reputable insurers, with Licensor named as additional insured where reasonably available. Certificates shall be provided on request.

13. Termination

Licensor may terminate a licence immediately upon written notice if Licensee materially breaches and fails to cure within ten (10) days after notice (or immediately if the breach is not reasonably curable, including unauthorized use or insolvency events under the Bankruptcy and Insolvency Act or comparable law). Upon termination or expiry, all rights revert and Licensee shall cease use, except for residual copies of completed projects already distributed as expressly permitted in the licence for sell-off, if any. Termination does not affect accrued payment obligations or provisions that by nature survive.

14. Remedies

Unauthorized use of Materials constitutes copyright infringement and breach of contract. Licensor is entitled to all remedies available at law and in equity, including injunctive relief without the necessity of proving actual damages or posting bond to the extent permitted by Ontario law, damages, accounting of profits, statutory remedies where available, and recovery of costs and legal fees to the extent awarded by a court of competent jurisdiction.

Licensee acknowledges that unauthorized use may cause irreparable harm not adequately compensable by damages alone.

15. Confidentiality

Non-public terms of any licence, including fees, shall be treated as confidential by Licensee and not disclosed except to professional advisors under confidentiality obligations, or as required by law, or with Licensor’s prior written consent.

16. Governing law and exclusive jurisdiction

These Agreement Terms and any licence or dispute arising out of or relating to licensing of Materials shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Notices

Notices under these Agreement Terms shall be in writing and delivered by email with confirmation of sending to legal@weaglerecords.com and licensing@weaglerecords.com (copy to info@weaglerecords.com is recommended but not required for validity if legal@weaglerecords.com is used for formal notices), or by prepaid courier to 18 Shapira Ave, Wasaga Beach, Ontario L9Z 0K2, Canada, and shall be deemed received on the business day of delivery if sent on a business day during ordinary hours in Ontario, or on the next business day otherwise.

18. General

These Agreement Terms, together with any executed licence and invoice terms referenced therein, constitute the entire agreement regarding the subject matter and supersede prior negotiations. Amendments must be in writing and signed or expressly accepted by Licensor. If any provision is held unenforceable by an Ontario court, the remainder remains in effect. Licensee may not assign without Licensor’s prior written consent; Licensor may assign to a successor of its catalogue rights. Provisions regarding fees, indemnity, reserved rights, ownership, confidentiality, and governing law survive termination.

Language. These Agreement Terms and all related documents are prepared in English. English is the governing language of interpretation.
